Cheah Teh Su Advises Systech Bhd on Proposed Share Capital Reduction

We are pleased to share that our team, led by our Partner, Henry Tan Hup Yiak, advised Systech Bhd in connection with its proposed share capital reduction of up to RM40 million and proposed change of name to WTS Capital Berhad.

As part of the transaction, our team advised on the legal framework and distinctions between a share capital reduction under sections 116 and 117 of the Companies Act 2016, including the considerations relevant to structuring the proposed exercise to achieve its intended corporate and financial objectives.

The proposed capital reduction forms part of Systech’s efforts to strengthen its financial position, address its accumulated losses and enhance its financial flexibility, positioning the company for its future business plans.
